Please read these terms carefully before using our platform.
By accessing or using the Factuplan platform (hereinafter "the Service"), you agree to be bound by these Terms and Conditions (hereinafter "the Terms"). If you do not agree with any part of these Terms, you may not access the Service.
These Terms apply to all visitors, users, and third parties who access or use the Service. By creating an account, you confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement.
Factuplan is an electronic invoicing platform authorized by the Internal Revenue Service (SRI) of Ecuador. The Service enables individuals and legal entities to issue, manage, and store electronic receipts (invoices, credit notes, debit notes, purchase liquidations, withholdings, and remittance guides) in accordance with current Ecuadorian tax regulations.
The Service includes, among other features: SRI receipt authorization, XML and PDF (RIDE) file generation, XAdES-BES electronic signature, email receipt delivery, REST API access for integrations, multi-company (RUC) management, and tax report generation.
Factuplan is operated by Azirgo SAS, RUC 1793177060001, domiciled in Ecuador.
To use the Service, you must create an account by providing accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your access credentials and for all activities carried out under your account.
You must notify us immediately of any unauthorized use of your account or any other security breach at contacto@factuplan.com.
You may not create accounts through automated means, create more than one personal account, or use another user's account without their express authorization.
The Service offers a free plan with limited features and paid plans with additional capabilities. Paid plan prices are available in the Pricing section of the platform and do not include Ecuador's Value Added Tax (VAT).
Payments are processed securely through certified payment gateways. By subscribing to a paid plan, you authorize recurring charges for the corresponding amount at the selected billing frequency (monthly or annual).
You may cancel your subscription at any time from your control panel. Cancellation will take effect at the end of the current billing period; no refunds are issued for partial periods unless otherwise required by law.
In the event of non-payment, Factuplan reserves the right to suspend access to the Service until payment is regularized. Previously authorized electronic receipts will remain accessible as required by SRI regulations.
You agree to use the Service only for lawful purposes and in accordance with Ecuadorian tax regulations. The following are expressly prohibited:
The Service, including its source code, design, trademarks, logos, texts, and other content, is the exclusive property of Azirgo SAS or its licensors and is protected by Ecuadorian intellectual property laws and international treaties.
Nothing in these Terms grants you the right to use Factuplan trademarks, trade names, or logos without prior written authorization.
The data and receipts you generate through the Service are your property. You grant Factuplan a limited license to process, store, and transmit such data solely for the purpose of providing the Service.
The processing of your personal data is governed by our Privacy Policy, available on the platform. By using the Service, you consent to the processing of your data in accordance with that policy and Ecuador's Organic Law on Personal Data Protection (LOPDP).
Factuplan implements appropriate technical and organizational measures to protect the personal information and tax data processed through the Service.
Factuplan acts as a technological intermediary between the taxpayer and the SRI. Responsibility for the information contained in electronic receipts (amounts, descriptions, recipient data, withholdings, etc.) rests exclusively with the issuing taxpayer.
Factuplan is not responsible for rejections, authorization errors, or SRI system contingencies beyond its control. In the event of an SRI contingency, the Service will follow the procedures established in current tax regulations.
The user is responsible for fulfilling all tax obligations applicable under Ecuadorian regulations, including retaining electronic receipts for the period established by law.
Factuplan strives to keep the Service available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted availability, as interruptions may occur due to scheduled maintenance, updates, third-party failures (including the SRI), or force majeure events.
We will provide adequate advance notice of any scheduled maintenance that may affect Service availability.
To the maximum extent permitted by applicable law, Azirgo SAS will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, business interruption, or other intangible losses arising from the use or inability to use the Service.
The total liability of Azirgo SAS to you for any claim arising from these Terms shall not exceed the amount paid by you for the Service in the preceding 12 months.
We reserve the right to suspend or terminate your access to the Service, with or without notice, in cases of: (i) breach of these Terms; (ii) fraudulent or unlawful use of the Service; (iii) non-payment of amounts owed; or (iv) requirement by a competent authority.
You may cancel your account at any time from your profile settings. After cancellation, you will have 30 days to export your data before it is deleted from our systems, unless applicable regulations require retention for a longer period.
We may modify these Terms at any time. We will notify you of material changes at least 15 days in advance via the email address registered to your account or through a prominent notice on the platform.
Continued use of the Service after the new Terms take effect constitutes your acceptance of them. If you do not accept the changes, you must discontinue use of the Service.
These Terms are governed by the laws of the Republic of Ecuador. For any dispute arising from or related to these Terms, the parties submit to the jurisdiction of the competent courts of Quito, Ecuador, waiving any other jurisdiction that may apply to them.
